เอกัตศึกษานี้มีวัตถุประสงค์เพื่อศึกษาหามาตรการทางกฎหมายในการกำกับดูแลธุรกิจ
FinTech แบบ Peer-to-Peer Lending ในประเทศไทย ด้วยวิธีการศึกษาและวิจัยเชิงคุณภาพโดย
การศึกษารวบรวมข้อมูลเชิงเอกสารทั้งแบบปฐมภูมิและทุติยภูมิ เกี่ยวกับความเป็นมา ขั้นตอนและ
กระบวนการของธุรกิจ FinTech แบบ Peer-to-Peer Lending มาตรการในการกำกับดูแลธุรกิจ
FinTech แบบ Peer-to-Peer Lending ในประเทศสหรัฐอเมริกา รวมทั้งปัญหา ข้อจำกัด และผล
กระทบของธุรกิจ FinTech แบบ Peer-to-Peer Lending ในด้านคุณลักษณะของธุรกิจ และในด้าน
ของการบังคับใช้กฎหมายและหลักเกณฑ์การกำกับดูแลในปัจจุบันของประเทศไทยที่มีต่อธุรกิจ
FinTech แบบ Peer-to-Peer Lending แล้วจึงนำข้อมูลที่ได้ศึกษารวบรวมมาวิเคราะห์และ
สังเคราะห์ โดยการเปรียบเทียบระหว่างมาตรการในการกำกับดูแลธุรกิจ FinTech แบบ Peer-to-
Peer Lending ในประเทศสหรัฐอเมริกา กับกฎหมายและหลักเกณฑ์การกำกับดูแลในปัจจุบันของ
ประเทศไทย เพื่อหามาตรการทางกฎหมายในการกำกับดูแลธุรกิจ FinTech แบบ Peer-to-Peer
Lending ซึ่งจะสามารถใช้เป็นแนวทางที่เหมาะสมในการช่วยลด หรือ บรรเทาปัญหาข้อจำกัด และ
ผลกระทบของธุรกิจ FinTech แบบ Peer-to-Peer Lending ได้จากผลการศึกษาพบว่า ธุรกิจ Fintech แบบ Peer-to-Peer Lending เป็นธุรกิจแตกต่างจากการให้กู้ยืม โดยสถาบันการเงินปกติ กล่าวคือ บริษัทที่ดำเนินธุรกิจดังกล่าวจะไม่ใช่เงินทุนของตัวเองในการปล่อยกู้ แต่จะทำหน้าที่เป็นตัวกลางเพื่อเชื่อมโยงระหว่างผู้ขอกู้และผู้ให้กู้ (นักลงทุน)ทำให้ผู้ขอกู้สามารถเข้าถึงแหล่งเงินทุนได้ง่าย และสะดวกมากขึ้น เช่นเดียวกับนักลงทุนที่มีทางเลือกในการลงทุนเพิ่มมากขึ้นเช่นกัน ธุรกิจดังกล่าวเป็นที่ได้รับความนิยมจากหลายๆประเทศ แต่สำหรับประเทศไทย ยังไม่มีการอนุญาตให้ดำเนินธุรกิจ ในลักษณะดังกล่าว เนื่องจากอยู่ระหว่างธนาคารแห่งประเทศไทยพิจารณาหาแนวทางในการกำกับดูแลธุรกิจนี้ ซึ่งหากไม่มีแนวทางในการกำกับดูแลอาจส่งผลกระทบต่อภาพรวมของระบบเศรษฐกิจของประเทศ โดยอาจเกิดหนี้ครัวเรือนที่เพิ่มสูงขึ้นจากการกู้ยืม รวมถึงธุรกรรมทางการเงินที่ต้องสงสัย เช่น การฟอกเงิน เป็นต้น เมื่อธุรกิจ Fintech แบบ Peerto-Peer Lending ยังไม่มีกฎหมายเฉพาะในการควบคุมธุรกิจนี้ จึงอาจทำให้เกิดช่องว่างในการดำเนินธุรกิจ Fintech แบบ Peer-to-Peer Lending ได้
โดยผลการศึกษาพบว่า ธุรกิจ Fintech แบบ Peer-to-Peer Lending ในประเทศสหรัฐอเมริกา ซึ่งเป็นประเทศแรกๆที่อนุญาตให้มีการจัดตั้งให้ดำเนินธุรกิจดังกล่าวได้ ได้มีการจัดประชุมร่วมกันของหลายๆหน่วยงาน เพื่อหามาตรการทางกฎหมายในการกำกับดูแลธุรกิจ Fintechแบบ Peer-to-Peer Lending ให้ชัดเจนยิ่งขึ้น ซึ่งเมื่อนำมาเปรียบเทียบกับกฎหมายปัจจุบันของประเทศไทยแล้ว ผู้วิจัยจึงได้เสนอ 3 มาตรการ คือ 1.มาตรการในการบังคับใช้กฎหมายและหน่วยงานที่ทำหน้าที่กำกับดูแลการทำธุรกิจ Fintech แบบ Peer-to-Peer Lending 2.มาตรการทางแพ่ง และ 3.มาตรการทางอาญา ซึ่งเป็นมาตรการทางกฎหมายที่จะรองรับนวัตกรรมทางการเงินใหม่ๆ โดยมีธนาคารแห่งประเทศไทยเป็นหน่วยงานที่มีอำนาจกำกับดูแลโดยเฉพาะ เพื่อช่วยสร้างความมั่นใจและช่วยคุ้มครองสิทธิประโยชน์ของผู้มีส่วนได้ส่วนเสียในการดำเนินธุรกิจ Fintech แบบ Peer-to-Peer
