dc.description.abstract	การตกลงร่วมกันจำกัดการแข่งขันในแนวดิ่ง หรือ การตกลงกันระหว่างผู้ประกอบธุรกิจที่มิใช่คู่แข่งขันในตลาดเดียวกันนั้น เป็นพฤติกรรมที่ต้องห้ามตามมาตรา 55 แห่งพระราชบัญญัติการแข่งขันทางการค้า พ.ศ. 2560 อย่างไรก็ดี ในบางกรณีการตกลงร่วมกันจำกัดการแข่งขันในแนวดิ่งอาจส่งผลดีต่อระบบเศรษฐกิจอันอาจได้รับยกเว้นหากเข้าเงื่อนไขตามมาตรา 56 (2) แห่งพระราชบัญญัติการแข่งขันทางการค้า พ.ศ. 2560 ซึ่งเป็นบทบัญญัติที่ยกเว้นการบังคับใช้กฎหมายแข่งขันทางการค้าให้กับข้อตกลงที่มีวัตถุประสงค์เพื่อการพัฒนาการผลิต การจัดจำหน่ายสินค้า และส่งเสริมให้เกิดความก้าวหน้าทางเทคนิคหรือเศรษฐกิจ ทั้งนี้ข้อตกลงดังกล่าวจะต้องไม่สร้างข้อจำกัดที่เกินกว่าความจำเป็น และไม่ก่อให้เกิดอำนาจผูกขาด หรือจำกัดการแข่งขันในตลาดอย่างมีนัยสำคัญ โดยคำนึงถึงผลกระทบต่อผู้บริโภคด้วย อย่างไรก็ดี จากการศึกษาพบว่ากฎหมายแข่งขันทางการค้าไทยยังไม่มีแนวทางและหลักเกณฑ์ที่ชัดเจนในการพิจารณาการยกเว้นตามมาตรา 56 (2) ให้กับการตกลงร่วมกันในแนวดิ่ง ซึ่งต่างจากกฎหมายแข่งขันทางการค้าของต่างประเทศที่มีหลักเกณฑ์ที่ชัดเจนในการพิจารณายกเว้นให้กับการตกลงร่วมกันในลักษณะดังกล่าว วิทยานิพนธ์ฉบับนี้จึงทำการศึกษาแนวทางในการปรับใช้การยกเว้นภายใต้มาตรา 56(2) กับการตกลงร่วมกันจำกัดการแข่งขันในแนวดิ่ง โดยนำบทบัญญัติแห่งกฎหมายการแข่งขันทางการค้าของสหภาพยุโรป ประเทศสหรัฐอเมริกา และประเทศออสเตรเลีย คำพิพากษา รวมทั้งแนวปฏิบัติขององค์กรที่มีอำนาจบังคับใช้กฎหมายมาพิจารณาประกอบด้วย	en_US
dc.description.abstractalternative	Vertical agreements or agreements between business operators that are not competitors in the same market are prohibited pursuant to Section 55 of the Trade Competition Act B.E. 2560 (“the TCA 2017”). However, in some cases, vertical agreements can be beneficial to the economy, which may be exempt if they satisfy the conditions set out in Section 56 (2) of the TCA 2017. Any agreement which contributes to improving the production or distribution of goods or to promoting technical or economic progress is exempt from the prohibition contained in the TCA 2017, if such agreement does not cause unnecessary restraints or cause monopoly power or significantly reduce competition in a market where consumers’ interests are also taken into consideration. Nevertheless, according to this study, Thailand’s TCA 2017 has not yet contained clear guidelines or rules on the exemption for vertical agreements under Section 56 (2), unlike foreign trade competition legislations that set out clear criteria for considering exemption for certain vertical agreements. This thesis, therefore, addresses a guideline on vertical agreements exemption under Section 56 (2) by examining the trade competition laws of the European Union, of the United States of America and of Australia as well as their judgments and practices of authorities.	en_US
